Operator: JSC Future Lab Ventures – a joint stock company incorporated under the laws of Georgia, with its registered office at Tbilisi, Vake District, Ilo Mosashvili Street N3, Floor 5, Apartment N28 (“Future Lab Ventures,” “we,” “us,” or “our”). Participant: The startup completing registration (“Startup,” “you,” or “your”). By registering for and participating in the Startup School Program operated by JSC Future Lab Ventures, you acknowledge that you have read, understood, and agreed to the following Terms & Conditions. These Terms form a binding pre-agreement; a formal agreement will be executed upon selection for further stages.

 

1. Purpose

The Startup School aims to support Georgian and international startups in developing their product, business model, and U.S. market readiness. Selected startups may later be invited to participate in the US Market Access Program, which provides tailored mentorship, U.S. incorporation guidance, and investor introductions.

2. Startup School Program

• The Startup School provides weekly pre-recorded learning sessions and weekly one-on-one mentorship with Future Lab Ventures’ experts.

• The Program typically lasts 9 weeks, and Future Lab Ventures may adjust its schedule or format as needed.

3. Selection for the US Market Access Program

• Selection for the US Market Access Program is competitive and discretionary. Only startups that complete the Startup School successfully and demonstrate growth potential may be invited.

• The Program focuses on U.S. incorporation support, investment readiness, and business scaling.

 

4. Equity Participation

• If selected for the US Market Access Program, the Startup agrees to grant JSC Future Lab Ventures 4% ownership of its fully diluted equity.

• A separate share transfer or subscription agreement will be executed, and the equity registration must be completed within 30 days of selection.

• This obligation applies regardless of the Startup’s jurisdiction of incorporation or any future corporate restructuring.

5. No Guarantee

Participation in the Startup School or US Market Access Program does not guarantee:

• Investment or funding;

• Acceptance into the US Market Access Program; or

• Commercial, financial, or partnership success.
  Programs are educational and mentorship-based only.

 

6. Governing Law & Dispute Resolution

These Terms are governed by the laws of Georgia. Any disputes shall be resolved through good faith negotiation, and failing that, submitted to the competent courts of Tbilisi, Georgia.

7. Acknowledgement

By submitting your registration, you confirm that you:

• Have read and understood these Terms;

• Are authorized to represent your Startup; and

• Agree that these Terms serve as a binding pre-agreement between your Startup and JSC Future Lab Ventures.
