Effective Upon Registration
These Terms and Conditions (“Terms”) govern participation in the US Market Access Program operated by JSC Future Lab Ventures, a joint stock company incorporated under the laws of Georgia, with its registered office at Tbilisi, Vake District, Ilo Mosashvili Street N3, Floor 5, Apartment N28 (“Future Lab Ventures,” “we,” or “us”).
By applying to or participating in the Program, the startup (“Startup,” “you,” or “your”) acknowledges and agrees to the following terms.
1. Purpose
The US Market Access Program is designed to help high-potential startups expand into the United States through mentorship, business structuring, and investor access. Future Lab Ventures provides strategic guidance to align participating startups with U.S. business and investment standards.
2. Program Overview

Participants receive targeted weekly mentorship from U.S.-based and Silicon Valley experts.

Support includes product development, go-to-market strategy, legal structuring in the U.S., and investor or corporate introductions.

Admission decisions are made solely by Future Lab Ventures and communicated in writing.

Participation begins upon acceptance confirmation from Future Lab Ventures.
3. Equity Participation

In exchange for participation, mentorship, and program access, the Startup agrees to transfer 4% of its fully diluted equity to Future Lab Ventures.

The transfer applies regardless of jurisdiction (and remains binding even if the Startup later reincorporates or restructures.

A separate share transfer or equity issuance agreement will be executed, and registration of Future Lab Ventures as a shareholder must be completed within 14 calendar days of a formal request.

Withdrawal or termination from the Program does not cancel this equity obligation.
4. Program Duration and Participation

The Program typically runs three to six months, unless extended or adjusted by Future Lab Ventures.

The Startup must actively participate in all scheduled sessions, workshops, and mentorship activities.

Consistent attendance and engagement are required to maintain good standing.
7. No Guarantee
Future Lab Ventures provides mentorship and access opportunities but does not guarantee:

Investment or funding;

Partnership or commercial success; or
-
Any specific outcome from Program participation.
All services are provided “as is” for educational and strategic purposes only.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of Georgia. Any disputes arising from or relating to the Program shall first be addressed through good-faith negotiations. If unresolved, disputes will be submitted to the competent courts of Tbilisi, Georgia, unless both Parties agree otherwise in writing.
9. Acknowledgment
By submitting your application and participating in the Program, you confirm that:

You have read and understood these Terms, you are authorized to represent your Startup; and

You agree that these Terms constitute a legally binding pre-agreement, to be followed by a formal written agreement upon selection.
